Terms of Service

The agreement

These terms are a contract between you and Cerqular Inc., a Delaware C-Corporation ("Cerqular", "we"). By creating an account or using cerqular.ai, you accept them. If you use Cerqular for a company, you confirm you can bind that company.

What Cerqular is

Cerqular is an AI revenue platform. You connect your business data (for example Stripe), and Cerqular does revenue work for you: it finds revenue you are missing, drafts and runs the follow-ups, offers, and content to capture it, and measures the result, attributing dollars to the actions that earned them.

The $1 trial and your subscription

• Trial. Your first 30 days cost $1, with full access to your tier.
• Before you are ever charged more, we show you the renewal date and the exact tier price. No surprise charges.
• Renewal. After the trial, your subscription renews monthly at your tier price until you cancel.
• Cancel anytime from Settings. Cancellation takes effect at the end of the paid period, and you keep access until then.
• Refunds. We do not refund partial months, except where the law requires it. If we got something badly wrong, write to us anyway; we are human about it.
• Fair use. AI generation is subject to the fair-use allowance of your tier. We may throttle volumes that indicate abuse or resale rather than normal business use.

No outcome guarantees

We do not guarantee revenue outcomes. Results vary. Cerqular shows you what it earns for you with honest labels: Measured means a real, attributed transaction; Estimated and Modeled mean a projection that has not been confirmed by a real transaction and must never be read as a promise. Nothing on the platform is financial, legal, or tax advice. Business decisions stay yours.

Acceptable use

• Use Cerqular only for lawful business purposes.
• No spam, deception, or impersonation; messages Cerqular sends for you must be ones you are entitled to send.
• No infringing, harmful, or unlawful content.
• No reverse engineering, scraping, reselling, or building a competing service from the platform.
• Respect the terms of the services you connect (for example Stripe or YouTube); a connection does not license you to break their rules.

We may suspend or terminate accounts that break these rules.

Who owns what

• Yours. Your content, your connected business data, and the outputs Cerqular generates for you are yours. You grant us the license needed to process them to provide the service, and nothing more.
• Ours. The platform, software, models' orchestration, design, and brand are Cerqular Inc.'s property. These terms grant you use of the service, not ownership of any of it.
• Feedback. If you send ideas or feedback, we may use them without obligation.

Connected services

Services you connect (Stripe, YouTube, and others) are governed by their own terms and privacy policies. We are not responsible for them, and an outage or change on their side may affect features that depend on them.

Disclaimers

The service is provided "as is" and "as available". To the maximum extent the law allows, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow these disclaimers, so parts may not apply to you.

Limits on liability

To the maximum extent the law allows, Cerqular's total liability for any claim is capped at the amounts you paid us in the 12 months before the claim, and we are not liable for indirect, incidental, or consequential damages, including lost profits. Where the law gives you rights that cannot be limited, those rights stand.

Ending things

You can end your account at any time, and you can export your data first. Both run through one path: ask us at privacy@cerqular.ai (Settings has a button that opens the request prefilled). We verify it is you, then act within the timeframes the law requires, and deletion clears your account data within 30 days. There is no self-serve delete button yet, so we say so rather than point you at one that does not exist. We can suspend or terminate accounts that violate these terms or create legal or security risk, and we will tell you why unless the law prevents it. Sections that by nature survive (ownership, disclaimers, liability limits) survive termination.

Governing law

These terms are governed by the laws of the State of Delaware, USA, and disputes belong to the state or federal courts located in Delaware. If you are a consumer with mandatory local rights, those rights are not affected.

Changes to these terms

If we make a material change, we will notify you by email or in the product before it takes effect and update the effective date above. Continuing to use Cerqular after the change takes effect means you accept it.
